Every Limited Liability Partnership (LLP) must have a principle place from where it executes all of its business activities. This principle place is called as Registered Office. It is the place where all legal and formal notices are sent.
The Limited Liability Partnership (LLP) can change its Registered Office (RO) address within or outside the city. A notice of change of the address must be provided to the Registrar of the Companies within 30 days (1 month) followed by the amendment in the LLP agreement.
If the change in the situation/ address of the Registered Office of Limited Liability Partnership (LLP) is within the limits of the city or town then, it can be effected by passing a resolution of change and filing the resolution with the Registrar within 30 days of the passing the resolution.
Procedure:
The change in the situation of RO of Limited Liability Partnership (LLP) within the same state but in the jurisdiction of different ROC can be done by passing a resolution of change and filing the resolution with the Registrar within 30 days of the decision taken.
Procedure:
Shifting of RO address from one state to another can be brought to effect by publishing a general notice in the Newspaper one in English and one in the local language of the district. It should be done 21 days prior to filing the resolution for the change along with the consent of all the partners and all the secured creditors.
Procedure:
The Limited Liability Partnership and it’s partners shall have penalty with a minimum of ₹2,000 and a maximum penalty of ₹25,000.
