Change in RO of LLP

Overview

Every Limited Liability Partnership (LLP) must have a principle place from where it executes all of its business activities. This principle place is called as Registered Office. It is the place where all legal and formal notices are sent.

The Limited Liability Partnership (LLP) can change its Registered Office (RO) address within or outside the city. A notice of change of the address must be provided to the Registrar of the Companies within 30 days (1 month) followed by the amendment in the LLP agreement.

Shifting of RO within the same ROC

If the change in the situation/ address of the Registered Office of Limited Liability Partnership (LLP) is within the limits of the city or town then, it can be effected by passing a resolution of change and filing the resolution with the Registrar within 30 days of the passing the resolution.

Procedure:

• 1. Board resolution: Conducting a meeting and having a consent from all the partners of the LLP for shifting the Registered Office (RO) to another place.
• 2. Authorization: Any of the partner is authorized to conduct all the legal proceedings related to the shifting of the RO address and file the same with the Registrar. He/she is also authorized for any other formality related to the shifting.
• 3. Filing: Informing the Registrar about the change in the RO address within 30 days of the decision taken by the partners. It is done by filing Form-15 along with the prescribed fees.
• 4. Incorporate the change: New address of the Limited Liability Partnership (LLP) should be then provided on all the stationary, bill boards, Invoice or any other place where it occurs.

Shifting of RO to another ROC but within same state

The change in the situation of RO of Limited Liability Partnership (LLP) within the same state but in the jurisdiction of different ROC can be done by passing a resolution of change and filing the resolution with the Registrar within 30 days of the decision taken.

Procedure:

• 1. Board resolution: Conducting a meeting and having a consent from all the partners of the LLP for shifting the Registered Office (RO) to another place.
• 2. Authorization: Any of the partner is authorized to conduct all the legal proceedings related to the shifting of the RO address and file the same with the Registrar. He/she is also authorized for any other formality related to the shifting.
• 3. Filing: Informing the Registrar about the change in the RO address within 30 days of the decision taken by the partners. It is done by filing Form-15 along with the prescribed fees.
• 4. Incorporate the change: New address of the Limited Liability Partnership (LLP) should be then provided on all the stationary, bill boards, Invoice or any other place where it occurs.

Shifting RO from one state to another

Shifting of RO address from one state to another can be brought to effect by publishing a general notice in the Newspaper one in English and one in the local language of the district. It should be done 21 days prior to filing the resolution for the change along with the consent of all the partners and all the secured creditors.

Procedure:

• 1. Board resolution: Conducting a meeting and having a consent from all the partners of the LLP for shifting the Registered Office (RO) to another place.
• 2. Secure consent: All the partners of the LLP must prepare the list of all the secured creditors of the firm. After, consent of all the creditors should be secured for the shifting of the RO address from one state to another.
• 3. Publish the notice: Limited Liability Partnership (LLP) should publish two notices providing about the change of the situation of the firm in the newspaper. One of this notice should be in English and the other one must be in the local language of the area where the LLP is currently situated. It should be done within 21 days of filing the intimation to ROC.
• 4. Filing: Informing the change of address within the 30 days of decision taken by filing up the Form-15 along with the prescribed fees with the Registrar. A copy of this Form should also be sent to the Registrar under whose jurisdiction the firm wishes to shift.

Documents required for change in Registered Office of Limited Liability Partnership firm:

• 1. Address proof of new office like the latest utility bill self-attested by the owner,
• 2. Rent agreement , if a changed office is rented property,
• 3. No Objection Certificate (NOC) from owner of such property.

NON COMPLIANCE WITH THE PROVISIONS AS PER THE ACT:

The Limited Liability Partnership and it’s partners shall have penalty with a minimum of ₹2,000 and a maximum penalty of ₹25,000.
